1. Acceptance of Terms
By accessing or using the Easy Pivot platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization. If you do not agree to these Terms, you may not access or use the Service.
2. Description of the Service
Easy Pivot is a cloud-based business intelligence and analytics platform that enables users to connect data sources, build pivot tables and dashboards, create reports, and share insights with their teams. We may update, modify, add, or remove features of the Service from time to time. We will use reasonable efforts to notify you of material changes to the Service, but features may change without prior notice where such changes do not materially diminish the core functionality.
3. Eligibility and Accounts
- •You must be at least 16 years old to use the Service.
- •You must provide accurate, current, and complete information when creating an account and keep it updated.
- •You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether authorized by you or not.
- •You must notify us immediately at support@epivotlabs.com of any unauthorized use of your account or any other security breach.
- •You may not create accounts through automated means, or create multiple accounts to circumvent restrictions or free-trial limits.
- •We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms.
4. Subscriptions, Billing, and Payment
- •The Service is offered under subscription plans, billed in advance on a monthly or annual basis as you select.
- •Fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
- •Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
- •We use Stripe, Inc. as our payment processor. Payment card details are handled by Stripe under its own terms and privacy policy; we do not store full card numbers.
- •All fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes, unless we are required to collect them by law.
- •If payment is not received on time, we may suspend access to the Service until payment is settled. After 30 days of non-payment, we may downgrade or terminate the account.
- •We may change fees or introduce new fees with at least 30 days' prior notice. Price changes do not affect your current billing period.
5. Free Trial
- •We may offer a free trial of paid plans. Free trials are subject to these Terms.
- •No payment information is required to start a trial unless otherwise stated.
- •At the end of the trial, you must subscribe to a paid plan to continue using paid features; otherwise, your access to those features will be limited or terminated.
- •We may limit trial features, data volume, or seat count. Trial limitations will be communicated in-product.
- •We reserve the right to restrict the number of trials per person or organization to prevent abuse.
6. Acceptable Use
- •You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:
- •Attempting to access accounts, systems, or networks without authorization, or probing security controls.
- •Uploading or transmitting malicious code, viruses, or content designed to disrupt the Service.
- •Using the Service to store or process content that violates applicable law, including data protection, export control, and intellectual property laws.
- •Uploading content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or infringing on the rights of others.
- •Interfering with or disrupting the integrity, performance, or availability of the Service, including denial-of-service attacks or excessive automated requests.
- •Reverse engineering, decompiling, or attempting to extract the source code of the Service.
- •Reselling, sublicensing, or otherwise commercializing the Service without our prior written consent.
- •Using the Service to send unsolicited communications (spam) or to harvest data about other users.
- •Circumventing access controls, rate limits, or security features of the Service.
7. Your Data and Content
- •You retain all right, title, and interest in and to the data, datasets, dashboards, reports, and other content you upload to or create within the Service ("Your Data").
- •You grant us a limited, non-exclusive, royalty-free license to host, store, process, reproduce, and display Your Data solely for the purpose of providing, maintaining, and improving the Service to you.
- •You represent and warrant that: (a) you own or have the necessary rights to Your Data; (b) Your Data does not violate these Terms or applicable law; and (c) you have obtained any consents required to process Your Data.
- •We do not sell Your Data, use it for advertising, or share it with third parties except as described in our Privacy Policy.
- •You are solely responsible for the accuracy, quality, and legality of Your Data and for any decisions made based on insights derived from the Service.
- •Where you connect third-party data sources, you are responsible for complying with the terms and privacy policies of those third parties.
8. Intellectual Property
- •The Service, including its software, design, user interface, trademarks, logos, documentation, and all related intellectual property, is owned by Easy Pivot or its licensors and is protected by intellectual property laws.
- •You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted in writing.
- •You may not remove or alter any copyright, trademark, or other proprietary notices.
- •You grant us a perpetual, irrevocable, worldwide license to use anonymized, aggregated, and de-identified data derived from your use of the Service for product improvement, analytics, and benchmarking purposes.
9. Confidentiality and Security
- •We implement reasonable administrative, technical, and physical safeguards to protect Your Data, including encryption in transit and at rest, access controls, and regular security monitoring.
- •You are responsible for configuring your account, integrations, and sharing settings in a secure manner and for protecting credentials used with the Service.
- •We will notify you without undue delay of any confirmed security incident affecting Your Data, in accordance with applicable law.
- •Neither party will disclose the other's confidential information, except as needed to perform under these Terms or as required by law.
10. Availability and Support
- •We use commercially reasonable efforts to maintain the availability and performance of the Service, targeting 99.9% monthly uptime, excluding planned maintenance (with at least 24 hours' notice where practicable) and events outside our reasonable control.
- •Support: standard support is available via email at support@epivotlabs.com during business hours (Pacific Time). Response times depend on plan and severity.
- •The Service may be temporarily unavailable due to maintenance, upgrades, or events beyond our control (e.g., internet outages, third-party service failures, force majeure). We are not liable for such unavailability.
- •We regularly back up customer data, but you are responsible for maintaining your own copies of critical data. We are not liable for data loss resulting from events outside our reasonable control.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE. WE DO NOT PROVIDE FINANCIAL, LEGAL, OR INVESTMENT ADVICE. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of Liability
- •TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- •NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- •EXCEPT FOR LIABILITY ARISING FROM (A) A PARTY'S BREACH OF CONFIDENTIALITY OBLIGATIONS, (B) YOUR INFRINGEMENT OF OUR INTELLECTUAL PROPERTY RIGHTS, OR (C) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, EACH PARTY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Easy Pivot and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) Your Data; or (d) your violation of any rights of a third party.
14. Termination
- •You may cancel your account at any time from your account settings or by contacting support. Cancellation is effective at the end of the current billing period.
- •Upon cancellation, you may export Your Data until the end of the current billing period; after that, we will delete Your Data in accordance with our retention and deletion schedule (typically within 90 days), except where retention is required by law.
- •We may suspend or terminate your access to the Service: (a) if you breach these Terms, including non-payment; (b) if required by law; or (c) to protect the security or integrity of the Service. We will use reasonable efforts to provide notice, except where immediate action is necessary.
- •Upon termination for breach, your right to use the Service ceases immediately, and we may delete Your Data in accordance with our deletion schedule.
- •Sections that by their nature should survive termination will survive, including Sections 7, 8, 11, 12, 13, and 16.
15. Export Compliance and Legal Compliance
You represent and warrant that you are not located in a country subject to U.S. or applicable export restrictions, and that you are not listed on any U.S. government restricted-party list. You agree to comply with all applicable export control and sanctions laws. You also agree to use the Service in compliance with all applicable laws, including data protection laws.
16. Governing Law and Dispute Resolution
- •These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
- •Informal Resolution: before filing any claim, the parties will attempt to resolve the dispute informally by contacting the other party in writing. The parties will negotiate in good faith for at least 30 days before initiating formal proceedings.
- •Jurisdiction: any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to the personal jurisdiction of those courts.
- •Class Action Waiver: to the extent permitted by law, all disputes shall be resolved on an individual basis, and the parties waive the right to participate in any class action, class-wide arbitration, or representative proceeding.
- •The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Force Majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government action, power failures, internet outages, or failures of third-party infrastructure. This section does not excuse payment obligations.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms on this page with a revised "Last Updated" date and, where appropriate, by email at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may cancel your account before the changes take effect.
19. General Provisions
- •Entire Agreement: these Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
- •Severability: if any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
- •Waiver: failure to enforce any provision does not constitute a waiver of that provision.
- •Assignment: you may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
- •Notices: we may provide notices to you via email or in-product notifications. Your notices to us should be sent to legal@epivotlabs.com.
